미국 ESRI 사이트를 확인하였더니 다음과 같은 기술문서가 올라와 있습니다.
익스플로러 7.0 베타 버전을 설치한 경우 ToolBox와 문제가 있다고 합니다.
6.0으로 재 설치하거나 더 상위버전으로 설치하라는데...
제 PC의 경우 7.0을 2주전에 설치했는데 큰 문제가 없는 걸로 볼때...
7.0 베타 버전 까신분들은 우선 새로운 7.0 버번으로 업그레이드 해보시고...
안된다면 첨부한 패치파일을 다운로드 하셔서 설치해 보시기 바랍니다.
그래도 안된다면 그 때 6.0으로 깔아보시는 게 좋을 것 같습니다.

Description
The window for any tool in ArcToolbox does not open. There is no error.
Cause
Internet Explorer 7.0 Beta is installed.
Solution or Workaround
- Uninstall Internet Explorer 7.0 Beta. Install the full version of Internet Explorer 6.0 or higher.
- Install the ArcGIS 9.1 Desktop Patch for Internet Explorer 7 Beta 2 and Beta 3 Users. See the link in the Related Information section below.
